Welcome to OSell.com! These Terms of Use describe the terms and conditions applicable to your access and use of the website/Applications at OSell.com. This document is a legally binding agreement between you as the user of the Site (referred to as “you”, “your” or “User” hereinafter), and OSell entity (referred to as “we”, “our” or “OSell” hereinafter).
1.1 Your use of the Site and OSell’s services, software and products (collectively the as the “Services” hereinafter) is subject to the terms and conditions contained in this document as well as the Privacy Policy, and any other rules and policies of the Site that OSell may publish from time to time. This document and such other rules and policies of the Site are collectively referred to below as the “Terms”. 1.3 You acknowledge and agree that OSell may amend any Terms at any time by posting the relevant amended and restated Terms on the Site. By continuing to use the Services or the Site, you agree that the amended Terms will apply to you.
1.4 You may be required to enter into a separate agreement, whether online or offline, with OSell for any Service (“Additional Agreements”). If there is any conflict or inconsistency between the Terms and an Additional Agreement, the Additional Agreement shall take precedence over the Terms only in relation to that Service concerned.
1.5 The Terms may not otherwise be modified except in writing by an authorized officer of OSell.
2.1 As a condition of your access to and use of the Site, you agree that you will comply with all applicable laws and regulations when using the Site.
2.2 You agree to use the Site solely for your own private and internal purposes. You agree that:
(a) you will not copy, reproduce, download, re-publish, sell, distribute or resell any Services
or any information, text, images, graphics, video clips, sound, directories, files, databases or
listings, etc available on or through the Site;
(b) you will not copy, reproduce, download, compile or otherwise use any Site Content for
the
purposes of operating a business that competes with OSell or otherwise commercially exploiting
the Site Content.
2.3 You must read OSell’s Privacy Policy which governs the protection and use of personal information about Users in the possession of OSell and our affiliates. You accept the terms of the Privacy Policy and agree to the use of the personal information about you in accordance with the Privacy Policy.
2.4 You must keep your personal information such as financial accounts, credit card, and corresponding passwords confidential. OSell is responsible in no circumstance for any loss due to disclosure of personal information.
2.5 You could access third party services. We however do not guarantee the quality, reliability or suitability of any third party services provided, made available or linked through our services and we will bear no responsibility for such third party services. If you access third party services through our services, you must comply with any terms and conditions applicable to those services.
2.6 You shall request the receipt of payment to the Third Parties you visit if you need. All fees of mail of related expenditure are paid by the Third Parties.
2.7 You shall respect and cannot behavior any unauthorized terms to Third Parties in accordance with the laws of the People's Republic of China and other relavant intellectual property right. Therefore, you must not:
(a) remove any copyright notices or other proprietary notices;
(b) reverse engineering, translation, decompiling to Third Parties; and
(c) harms or exploits any person (whether adult or minor) in any way, including being
hateful,
harassing, abusive, racially or ethnically offensive, defamatory, humiliating to other people
(publicly or otherwise), threatening, profane or otherwise objectionable;
2.8 Beyond that any attempts are prohibited to hack the website, ascertain passwords or by other means to get access to the service, accounts or any stored data. Except for authorization, you must not:
(a) make use of any data or access the server / account;
(b) access into the public computer network or other computer system to delete, modify and
increase data storage;
(c) attempt to probe, scan or test defects of Site in order to destroy network security;
(d) intentionally distribute viruses, worms, Trojan horses, corrupted files or other
malicious
code or items to disturb the operation of network; and
(e) attack the Site due to the defeat of the system to get improper advantage.
3.1 Upon registration on the Site, OSell shall assign an account and issue a member ID and password (the latter shall be chosen by a registered User during registration) to each registered User.
3.2 A set of Member ID and password is unique to a single account. Each Member shall be solely responsible for maintaining the confidentiality and security of your Member ID and password and for all activities that occur under your account. No Member may share, assign, or permit the use of your Member account, ID or password by another person outside of the Member’s own business entity. Member agrees to notify OSell immediately if you become aware of any unauthorized use of your password or your account or any other breach of security of your account.
3.3 Member acknowledges that sharing of your account with other persons, or allowing multiple users outside of your business entity to use your account (collectively, "multiple use"), may cause irreparable harm to OSell or other Users of the Site. Member shall indemnify OSell, our affiliates, directors, employees, agents and representatives against any loss or damages (including but not limited to loss of profits) suffered as a result of the multiple use of your account. Member also agrees that in case of the multiple use of your account or Member’s failure to maintain the security of your account, OSell shall not be liable for any loss or damages arising from such a breach and shall have the right to suspend or terminate Member’s account without liability to Member.
3.4 After successful registration, you need to submit corresponding materials according to the prompts on the OSell website/App to apply for membership authentication and become a DD members of the OSell platform. Only DD member accounts can place orders online with the Osell website/App.
4.1 Member will be required to provide information or material about your entity, business or products/services as part of the registration process on the Site or your use of any Service or the member account. Each Member represents, warrants and agrees that:
(a) such information and material whether submitted during the registration process or thereafter
throughout the continuation of the use of the Site or Service is true, accurate, current and
complete;
(b) you will maintain and promptly amend all information and material to keep it true,
accurate,
current and complete.
4.2 Upon becoming a Member, you consent to the inclusion of the contact information about you in our Buyer Database and authorize OSell and our affiliates to share the contact information with other Users or otherwise use your personal information in accordance with the Privacy Policy.
5.1 Through the Applications, OSell provides electronic web-based platforms for exchanging information between buyers and sellers of products and services. OSell additionally provides electronic web-based transaction platforms for Members to place, accept, conclude, manage and fulfill orders for the provision of products and services online within the Applications subject to the terms of the Transaction Services Agreement. However, for any Services, OSell does not represent either the seller or the buyer in specific transactions. OSell does not control and is not liable to or responsible for the quality, safety, lawfulness or availability of the products or services offered for sale on the Applications or the ability of the sellers to complete a sale or the ability of buyers to complete a purchase.
5.2 Users are hereby made aware that there may be risks of dealing with people acting under false pretenses. OSell uses several techniques to verify the accuracy of certain information our paying Users provide us when they register for a paying membership service on the Applications. However, because user verification on the Internet is difficult, OSell cannot and does not confirm each User's purported identity (including, without limitation, paying Members). We encourage you to use various means, as well as common sense, to evaluate with whom you are dealing.
5.3 Each User acknowledges that it is fully assuming the risks of conducting any purchase and sale transactions in connection with using the Applications or Services, and that it is fully assuming the risks of liability or harm of any kind in connection with subsequent activity of any kind relating to products or services that are the subject of transactions using the Applications. Such risks shall include, but are not limited to, mis-representation of products and services, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective or dangerous products, unlawful products, delay or default in delivery or payment, cost mis-calculations, breach of warranty, breach of contract and transportation accidents. Such risks also include the risks that the manufacture, importation, export, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the Applications may violate or may be asserted to violate Third Party Rights, and the risk that User may incur costs of defense or other costs in connection with third parties’ assertion of Third Party Rights, or in connection with any claims by any party that they are entitled to defense or indemnification in relation to assertions of rights, demands or claims by Third Party Rights claimants. Such risks also include the risks that consumers, other purchasers, end-users of products or others claiming to have suffered injuries or harms relating to products originally obtained by Users of the Applications as a result of purchase and sale transactions in connection with using the Applications may suffer harms and/or assert claims arising from their use of such products. All of the foregoing risks are hereafter referred to as "Transaction Risks". Each User agrees that OSell shall not be liable or responsible for any damages, claims, liabilities, costs, harms, inconveniences, business disruptions or expenditures of any kind that may arise a result of or in connection with any Transaction Risks.
5.4 Users are solely responsible for all of the terms and conditions of the transactions conducted on, through or as a result of use of the Applications or Services, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation and storage.
5.5 User agrees to provide all information and materials as may be reasonably required by OSell in connection with your transactions conducted on, through or as a result of use of the Applications or Services. OSell has the right to suspend or terminate any User’s account if the User fails to provide the required information and materials.
5.6 In the event that any User has a dispute with any party to a transaction, such User agrees to release and indemnify OSell (and our agents, affiliates, directors, officers and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such transaction.
6.1 In no event will OSell be liable in network connection in these terms or our service caused by Force Majeure such as natural disaster or war, any computer virus, Trojan horse or other damage caused by malware or hackers, any malfunction or failure of our or your software, system, hardware or connectivity, improper or unauthorized use of our services or software, your use of our services or software in breach of these terms or the general eula or any reasons beyond our reasonable control or predictability.
6.2 In no event will OSell be liable under no circumstances for any indirect, special, consequential, exemplary or punitive damages or for any loss of business, revenues, profits, goodwill, content or data from Third Parties.
6.3 OSell does strive to provide a quality protection for your personal information; we however do not guarantee and are not responsible for the secure protection service under current technology.
6.4 If the Third Parties violate the term or are terminated for some reason and affect your business, you shall claim the right to the parties. OSell is not responsible for the law violation and termination of the Third Parties.
7.1 Subject to any Additional Agreements, the Terms constitute the entire agreement between you and OSell with respect to and govern your use of the Sites and Services, superseding any prior written or oral agreements in relation to the same subject matter herein.
7.2 If any provision of the Terms is held to be invalid or unenforceable, such provision shall be deleted and the remaining provisions shall remain valid and be enforced.
7.3 Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.
7.4 OSell’s failure to enforce any right or failure to act with respect to any breach by you under the Terms will not constitute a waiver of that right nor a waiver of OSell’s right to act with respect to subsequent or similar breaches.
7.5 OSell shall have the right to assign the Terms (including all of our rights, titles, benefits, interests, and obligations and duties in the Terms to any person or entity (including any affiliates of OSell). You may not assign, in whole or part, the Terms to any person or entity.
OSell is electronic commerce platforms are predominantly used by business entities to facilitate electronic commerce and such business use does not generally involve the collection of personal information of individuals. OSell recognizes the importance of privacy as well as the importance of maintaining the confidentiality of personal information. This Privacy Policy applies to all products and services provided by us and sets out how we may collect, use and disclose information in relation to users of the Site. You may use our services and products via a mobile device either through mobile applications or mobile optimized WebSite. This Privacy Policy also applies to such use of our services and products.
1.1 Your privacy is important to us and we have taken steps to ensure that we do not collect more information from you than is necessary for us to provide you with our services and to protect your account.

In addition, we gather statistical information about the Site and visitors to the Site including, but not limited to, IP addresses, browser software, operating system, software and hardware attributes, pages viewed, number of sessions and unique visitors (together "Browsing Information").
1.5 Registration Information, Account Information, Activities Information, Event Information and Browsing Information generally relate to business entities and are together referred to as business data (“Business Data”). Insofar and only insofar as they constitute personally identifiable data of living individuals, such information are together referred to as personal data (“Personal Data”).
1.6 It is mandatory for users of the Site to provide certain categories of Business Data and Personal Data (as specified at the time of collection). In the event that users do not provide any or sufficient Business Data and/or Personal Data marked as mandatory, we may not be able to complete the registration process or provide such users with our products or services.

Products sold on OSell are divided into stock product and pre-sale product:
a. Stock product means there is stock in the country/region where the user receives goods.
b. Pre-sale product means there is no stock in the country/region where the user receives
goods (goods purchased directly from Chinese suppliers).
Stock goods: pay the order amount in a lump sum, including the value of goods and local logistics freight (freight generated from the shipment place of stock goods to the destination of the order)
Pre-sale goods: pay the order amount two times
a. The first payment shall be made when placing the order: advance payment of commodity
value (calculate according to the proportion of advance payment) + international logistics
freight (freight generated from delivery from the supplier in China to the destination country
of the order) + local logistics (local freight generated after the goods arrive in the
destination country of the order);
b. Balance payment when the goods arrive at the destination country of the order: balance
payment of commodity value (the remaining value after deducting the commodity value paid in
advance)
a. Bank transfer: You can complete the payment by transfer through the online or offline
platforms of the bank;
b. PayPal: If you already have a PayPal account, you can choose PayPal for online payment.
a. For orders of pre-sale product, the system will automatically push the final payment
notification message, and users need to check and pay the final payment in time;
b. If the order cannot be performed or the receiving of goods is delayed due to the user's
failure to pay/delay in paying the balance payment, all consequences shall be borne by the user.
c. The international logistics freight of pre-sale goods shall be set and collected by the
commodity suppliers themselves. If you have any questions, please contact the supplier online
through the platform;
d. If you have any questions about local logistics freight, please contact customer service
online through the platform.
By using the Request for Quotation (“RFQ”) service, you agree that you have read, understood, and agreed to be bound by the Terms of Use, Privacy Policy, and other policy of Osell , as well as the following terms with regards to your submission of any buying request (“Buying Request”)RFQ:
1. Prior to submitting any Buying Request, you must have activated your registered email with OSell in accordance with the requirements as prescribed by OSell.
2. Your Buying Request should be specific and clear. You should not post any request or information irrelevant to the RFQ service.
3. You shall not post any materials that are untrue, inaccurate, unlawful, invalid, or in violation of OSell.
4. To avoid causing any confusion, you should not post repeated Buying Requests.
5. You can login your OSell account to check the RFQ requests you have issued and learn about the latest RFQ status and quotation.
6. You represent and warrant that all information and materials provided and/or uploaded by you shall be true, accurate and not misleading.
7. You undertake that you shall not publish any information or conduct any act whatsoever that infringe the rights of any third party, including but not limited to any intellectual property rights, rights of publicity, rights of personality, rights of privacy, and any other rights of third parties not specifically identified in this clause.
8. In the event that you have violated any of the terms stated above, OSell shall have the right to take any enforcement actions reasonably necessary. Examples of such enforcement actions include but not limited to deleting your posted Buying Request, restricting your rights to post the Buying Request, issuing warnings to you, or terminating your membership agreement with OSell, and etc.
9. You shall not submit any information or materials, in particular during your use of the audio
and video submission services of the OSell app/website, that is/are unlawful in any relevant
country or jurisdiction and/or are in breach of any website rules adopted by OSell. In addition,
you shall not submit any material that may not be restricted or prohibited by law but are
nonetheless controversial, including but not limited to:
a. Information that encourages illegal activities;
b. Items that are racially, religiously or ethnically derogatory, or that promote
hatred, violence, racial or religious intolerance;
c. Giveaways, lotteries, raffles, or contests;
d. Stocks, bonds, investment interest and other securities; and
e. Pornographic materials/items that are sexual in nature.
10. The process of matching any Buying Request will be conducted by an algorithm for managing search results and the algorithm will match the Buying Request based on amongst others keywords and description entered into by suppliers on OSell platform. For the avoidance of doubt, OSell does not play any active role and will not intervene in the matching process of any Buying Request. OSell does not guarantee any accuracy and/or correctness of the search results of any Buying Request, and shall not be held liable in respect thereof.
11. Typically, a high quality Buying Request will likely to receive quotations from sellers of higher standard. Some of the criteria used to determine the quality of a Buying Request shall include but not limited to the degree of completion of the information in the Buying Request, the order quantity in the Buying Request, whether you as a buyer who submitted the Buying Request has completed third party verification process, the activeness of your account on OSell.
12. Notwithstanding the above, OSell reserves the right to refuse any Buying Request that does not meet any criteria that are regarded as appropriate and/or required by OSell, in its sole discretion. Examples of such Buying Request include, but not limited to, Buying Request for products that do not belong to supplier’s designated category of products on OSell, Buying Request that does not correspond to the products, Buying Request with missing information, Buying Request for banned and/or restricted products, Buying Request that infringes any terms and conditions for the use of RFQ service or any other website rules adopted by OSell, and etc.
13. You acknowledge and agree that OSell may collect your information, including but not limited your company name, office address, contact name, email address, telephone, mobile phone and fax. In providing the aforementioned information to OSell, you hereby agree that OSell may use, process, transfer your information to any third party agent, supplier, contractor and/or service provider (“External Third-Party”) for the purposes of (a) processing the Buying Request; (b) sending administrative, marketing and/or promotional materials to you; (c) contacting you for satisfaction surveys or market research; (d) conducting data cleansing, verification, validation and supplementation; and/or (e) any other purposes relating to legal, safety and/or security purposes. You hereby agree that the External Third-Party may contact you for any purpose as contemplated hereunder.
14. You acknowledge and agree that OSell may use your membership information, including but not limited to your company profile, profile pictures, transaction history, contact person information, and etc., to market and promote the RFQ and the OSell International Website (www.osell.com) and also to support and operate the various programs and the RFQ service offered to members from time to time.
15. You acknowledge and agree that OSell may use information submitted by you pursuant to any Buying Request including, but not limited to, any related product information, product pictures, product specifications therein, and etc., to support and operate various programs, services, marketing initiatives, and other services offered by the RFQ service to members from time to time.
16. OSell reserves the right to amend, vary and/or modify these rules upon notice. In the event of disputes, the decision of OSell shall be final and binding.
1. Return policy for local spot goods
1.1 Return due to quality problems
a. If the customer chooses express delivery, the buyer can return the product within 3 days
after receiving it (mark according to the tracking number).
b. If the product is delivered by BD or picked up by the customer, the buyer can return the
product within 3 days after receiving it (mark according to the system order time)
1.2 Precautions for returning goods
a. The buyer needs to pay the freight of the returned product in advance, and the platform
will verify the quality of the returned product after receiving it.
b. If the product has quality problem, the platform will refund the buyer the full amount
paid for the product and the back freight paid in advance. Meanwhile, the buyer should upload
the voucher of the freight paid in advance to OSell.
c. The platform will return the refund to the OSell wallet or bank account of the buyer upon
receipt of the returned product and a picture of the freight voucher.
1.3 Refund due to missing delivery/under-delivery of order
a. If the customer chooses express delivery, the buyer can file a missing
delivery/under-delivery complaint within 3 days after signing for the delivery (mark according
to the tracking number).
b. If the product is delivered by BD or picked up by the customer, the customer should count
the product quantity in person with an OSell employee. If it’s correct, OSell will no longer be
responsible for missing delivery/under-delivering orders.
c. The buyer must provide pictures of the packaging of the product before it’s opened, so
that the platform can verify whether it’s due to the express delivery error.
d. After verification, OSell will provide the final result.
e. If the missing delivery/under-delivery of product is true, the platform will refund the
buyer the full amount paid for the missed/under-delivered product to the OSell account wallet or
bank account of the buyer.
2. Return policy for pre-sale product
2.1 For the return/refund of pre-sale goods due to quality problems, missing
delivery/under-delivery and other reasons, please contact the customer service within 24 hours
of receipt, and provide clear pictures for verification.
2.2 If the application for returning goods is confirmed, please deliver the returned goods
to the designated address within 5 days (provide the name of the logistics company and the
delivery information of the returned goods). The buyer needs to pay the freight of the returned
goods in advance, and the platform will verify the quality problems of the returned goods after
receiving them.
2.3 If the problem is true, the buyer should send the photo of the freight voucher and the
defective product to the sales team or customer service team. After receiving the defective
product and the photo of the freight voucher, OSell will refund the buyer the full amount paid
for the product and the back freight paid in advance to the OSell account wallet or bank account
of the buyer after verification.
Stock product: The goods will be delivered within 48 hours after you complete the payment of the order. In case of special holidays, you can consult the customer service of the platform for the delivery time;
Pre-sale product: It depends on the order, and you can communicate with the supplier online before placing an order;
Stock product: You can choose pick-up or express delivery
